3. Use of the Platform
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Platform for your internal workforce management purposes. You must not:
- use the Platform in violation of any law, or to process data you have no right to process;
- upload malicious code, or content that is unlawful, defamatory, obscene or infringes the rights of others;
- attempt to gain unauthorised access to the Platform, other accounts or our systems, or bypass security or access controls;

- copy, modify, reverse engineer, resell or create derivative works of the Platform, except as permitted by law;
- overload or disrupt the Platform, or use automated means to access it without our written permission.
4. Customer responsibilities
- The Customer is responsible for the accuracy, quality and lawfulness of Customer Data and for its employment decisions.
- The Customer acts as Data Fiduciary for employee data it manages on the Platform and must have a valid legal basis, give required notices and obtain any consents needed, including for Aadhaar-based verification.
- The Customer must configure roles and permissions appropriately and ensure its Authorised Users comply with these Terms.
- Contracts, disciplinary notices, feedback and other content created by the Customer are its own responsibility. Duvee does not review this content and does not provide legal or HR advice.
5. Employee users
- Employee Users may use the Platform to view and maintain their profile, respond to requests from their organisation, sign contracts, apply for leave, give feedback and manage link requests.
- Employee Users must provide accurate information and must not submit false documents or impersonate another person.
- Feedback must be honest and must not be abusive, defamatory or contain confidential information of others.
- Your relationship with your employer is governed by your employment terms, not by these Terms. Duvee is not a party to that relationship.
6. Data protection
Personal data on the Platform is handled as described in the Belong Privacy Policy. Where we process Customer Data as Data Processor, we will:
- process it only to provide the Platform and on the Customer's documented instructions;
- maintain reasonable security safeguards and require our service providers to do the same;
- ensure our personnel with access are bound by confidentiality;
- notify the Customer without undue delay after becoming aware of a personal data breach affecting Customer Data;
- assist the Customer, as reasonably required, in responding to requests from individuals; and
- on termination, delete or return Customer Data as described in Section 12, unless the law requires us to retain it.
7. Plans and fees
- The Platform may be offered on free and paid plans. Features, limits and prices are shown on the Platform or in an order form.
- The Platform is currently available free of charge. We will give Customers reasonable advance notice before introducing charges, and paid features will apply only if the Customer chooses a paid plan.
- Where paid plans apply, fees are payable in advance, are exclusive of applicable taxes including GST, and are non-refundable except as required by law or stated in an order form.
- We may suspend paid features if fees remain unpaid after notice.
8. Intellectual property
- Duvee owns all rights in the Platform, including its software, design, trademarks and documentation. No rights are granted except those expressly set out in these Terms.
- The Customer retains all rights in Customer Data and grants Duvee a limited licence to host, process and display it solely to provide and improve the Platform.
- If you send us suggestions or feedback about the Platform, we may use them without any obligation to you.
9. Confidentiality
Each party will keep the other's confidential information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known to the recipient, independently developed, or required to be disclosed by law.
10. Availability, support and changes
- We aim to keep the Platform available and to perform planned maintenance at times that minimise disruption, but we do not guarantee uninterrupted or error-free operation unless a separate service level agreement applies.
- Support is provided through the Platform's support desk and by email.
- We may update or improve the Platform from time to time. We will not make changes that materially reduce core functionality for paying Customers during their paid term without notice.
11. Third-party services
The Platform relies on third-party services, such as hosting, email and SMS delivery, identity and GST verification, and payment processing. Their availability is not fully within our control, and their use may be subject to their own terms. We are not responsible for failures caused by third-party services beyond our reasonable control.
12. Suspension and termination
- A Customer may stop using the Platform and request closure of its account at any time.
- We may suspend or terminate access, with notice where reasonably possible, if you breach these Terms, if required by law, or if your use poses a security or legal risk to the Platform or others.
- On closure or termination, the Customer may request an export of its Customer Data within 30 days. After that period, we will delete or anonymise Customer Data within a reasonable time, except where retention is required by law.
- Sections that by their nature should survive termination, including intellectual property, confidentiality, limitation of liability, indemnity and governing law, will survive.
13. Disclaimer
To the extent permitted by law, the Platform is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Identity and GST verification results depend on third-party and government sources, and we do not guarantee their accuracy.
14. Limitation of liability
- To the extent permitted by law, neither party will be liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data, arising out of these Terms.
- Duvee's total liability arising out of or relating to these Terms will not exceed the fees paid by the Customer to Duvee for the Platform in the 12 months before the event giving rise to the claim, or INR 10,000 where no fees have been paid.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Indemnity
The Customer will indemnify Duvee against claims, losses and costs arising from Customer Data, the Customer's breach of these Terms or applicable law, or employment decisions made by the Customer using the Platform.
16. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion. Subject to that, the courts at Chennai, Tamil Nadu will have exclusive jurisdiction.
17. General
- Changes to these Terms: we may update these Terms from time to time and will notify Customers of material changes through the Platform or by email. Continued use after the effective date means you accept the updated Terms.
- Order forms: if a signed order form or agreement with a Customer conflicts with these Terms, the order form or agreement prevails for that Customer.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Assignment: you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of our business.
- Severability and waiver: if any provision is unenforceable, the rest remain in effect. A failure to enforce a provision is not a waiver.
- Entire agreement: these Terms, the Belong Privacy Policy and any order form form the entire agreement between the parties about the Platform.
